<h1>TECHNICAL DOMAIN FOR AD SERVING</h1>
<h3>TERMS OF USE</h3>
<p>These Terms govern your access and use of this ad tech domain (hereinafter referred to as the 'ATD, 'we', 'us', 'our').</p>
<p>You (hereinafter refer to as the "User", "You", "Yours", etc.), are a user accessing and/or using this ATD for the purposes of ad serving on your website(s).</p>
<p>Please read these Terms carefully before accessing or using this ATD. We offer access to this ATD, including access to its content and availablility to use, conditioned upon your acceptance of all terms, conditions and policies stated herein. By accessing and/or using any part of the ATD, you agree and signify your agreement to be bound by these Terms and of all documents incorporated herein. If you do not agree to all the terms and conditions of these Terms, then you may not access nor use this ATD. If these Terms are considered an offer, acceptance is expressly limited to these Terms. You are responsible for ensuring that all persons who access this ATD through your internet connection are aware of these Terms and that they comply with them.</p>

<h3>PURPOSE OF USE</h3>
<ol>
<li>This ATD must only be used for the purposes of serving ad content across various platforms such as websites, apps, and social media (hereinafter refer to as the "website(s)"). It acts as the foundation for delivering advertisements to target audience and enables the smooth delivery of ads to engage users effectively. </li>
<li>The ATD provides the infrastructure needed to handle ad requests, select relevant ads based on targeting criteria, and deliver them seamlessly to users visiting websites or using apps. It facilitates tracking user interactions with ads, collecting data for reporting and analysis purposes.</li>
<li>You may only use this ATD in the meaning of integrating the ATD it into your website(s) for ad serving purposes. As a website(s) owner, you may create designated spaces on your website(s) where ads will be displayed, set up targeting options such as demographics, interests, and behaviors to ensure that the ads displayed are relevant to their audience, monitor performance and optimize the ads in an effort to improve engagement and revenue. You are forbiddeng from using this ATD in any other way or for any other purpose.</li>
<li>All copyrights, access rights and rights of use of the ATD and its content incorporated therein are expressly reserved. Unless any further use is explicitly permitted in these Terms,</li>

<li>you may only retrieve and display the content available on the ATD for personal purposes. This right of use is limited to the duration of availability of access and use granted by the ATD operator;</li>
<li>you may not process, change, translate, present, publish, exhibit, duplicate or distribute in any other way the content available on the ATD either in whole or in part. You are also forbidden from removing or altering copyright notices, logos or other markings or proprietary notices.</li>
</ol>
<li>We reserve the right to refuse or terminate your access and/or use of the ATD for any reason and at any time.</li>
<li>A breach or violation of any of the Terms and/or Policies of the ATD will result in an immediate termination of your access and/or use of the ATD.</li>
</ol>
<h3>PROHIBITED USE</h3>

<li>In addition to other prohibitions as set forth in the Terms, you are prohibited from accessing and/or using the ATD and/or its content: (a) for any unlawful purpose; (b) to cheat, defraud, mislead or attempt to do so, (c) to solicit others to perform or participate in any unlawful acts; (d) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (e) to engage in any activity that may or will actually infringe upon or violate our intellectual property rights or the intellectual property rights of others; (f) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (g) to submit false or misleading information; (h) to engage in any activity or to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the ATD and our systems or of any related website, other websites, or the Internet; (i) to collect or track the personal information of others; (j) to spam, phish, pharm, pretext, spider, crawl, or scrape; (k) for any obscene or immoral purpose; or (l) to interfere with or circumvent the security features of the ATD or any related website, other websites, or the Internet; (m) to falsify information in connection with the operation, content, access and use of the ATD; (n) to place the ATD on alternative websites without written consent and approval of the ad serving provider and/or ATD operator; (o) to place the ATD on pornographic/offensive, and/or warez, and/or illegal MP3 sites/directories, and/or P2P/Bit-Torrent sites, and/or Spyware or malicious code of any sort and/or alternatively questionable areas; (p) to exceed your permitted access and use of to the ATD; (q) to use the ATD for any other purposes except as explicitly permitted under these Terms.</li>
<li>We reserve the right to terminate your access and/or use of the ATD upon our suspiscion of or your actual engagement in and/or causing and/or faciliating the engagement of any user in any of the prohibited uses.</li>
</ol>
<h3>REPRESENTATIONS, WARRANTIES AND COVENANTS</h3>

<li>You hereby represent and warrant the following:
<blockquote>You have the right, power, and authority to enter into this agreement and to receive access and use of the ATD as per these Terms;</blockquote>
<blockquote>You and/or your website(s) is not involved in any illegal activities and/or in any advertising or marketing practices that are deceptive, misleading or fraudulent;</blockquote>
<blockquote>Your website(s) is content-based (not simply a list of links or advertisements), fully functional at all levels (no "under construction" sites or sections) and complies with the applicable legislation;</blockquote>
<blockquote>Your website(s) is in compliance with all applicable laws and these Terms, and does not contain or promote, nor links to another website that contains, libelous, defamatory, abusive, violent, prejudicial, obscene, infringing, sexually explicit or illegal content, including copyright ownership infringements and unlawful use of intellectual property;</blockquote>
<blockquote>Your website(s) does not contain any sexual or erotic material that depicts persons under the age of eighteen (18) or in a manner that suggests that they are under the age of eighteen (18);</blockquote>
<blockquote>Your website(s) does not contain any pornographic, racial, ethnic, political, software pirating (e.g. Warez) or hacking, hate-mongering, or otherwise objectionable content;</blockquote>
<blockquote>You own or have legal rights to use and distribute all content, copyrighted material, trademarked materials, products, and services displayed on your website(s);</blockquote>
<blockquote>Your servers support the traffic directed through the ATD. We take no responsibility for all the consequences in the event your servers cannot support the traffic directed to your website(s);</blockquote>
<blockquote>You will act in a legal, ethical manner and maintain the highest degree of professionalism and standards of integrity, honesty and responsibility when accessing and using the ATD and you will not engage in any illegal activity in accordance with all applicable laws;</blockquote>
<blockquote>You will fully comply at all times with all reporting obligations imposed by all jurisdictions and applicable laws, guidelines, regulations, etc. in regards to and/or related to your website(s) and its/theri operation, online advertising and all activities contemplated, initiated, ongoing, performed, executed, completed from/via your access and use of the ATD;</blockquote>
<blockquote>You will not act in an unlawful, harmful, threatening, defamatory, offensive, harassing manner or in other similar way that may disrepute and/or harm/damage in any way the name, goodwill and reputation of the ATD, its operation, operators and any of its content;</blockquote>
<blockquote>You will not make any defamatory remarks and/or any untrue statements or claims about or on behalf of the ATD and/or its operator;</blockquote>
<blockquote>You will not use the ATD, its content and operation for or in connection with commercial purposes. These are only intended for your non-commercial use. </blockquote>
<blockquote>If instructed to do so, you will immediately remove and discontinue the use of the ATD;</blockquote>
<blockquote>If you are notified that fraudulent activities may be occurring on your website(s), which are not stoped immediately upon our request, then you will take full responsiblity for all associated costs and legal fees resulting from such fraudulent activities;</blockquote>
<blockquote>There can be no recourse to legal action and if any errors or undesirable results occur the operator of the ATD shall not be responsible for losses and you will not be compensated;</blockquote>
<blockquote>We do not check or control the activities or contents at your website(s) and you are solely and entirely responsible and liable for all activity which is in breach of these Terms;</blockquote>
<blockquote>We do not check or control the activities or contents of third-party websites involved and/or related to your use of the ATD and you are solely and entirely responsible and liable for all activity undertaken by you in relation to those third-party websites, contents, activities;</blockquote>
<blockquote>You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the ATD, its operation, content, access and use availability, without express written permission by us.</blockquote>

<li>In any case you are in breach of any representation and warranty under this clause, we reserve the right to refuse and/or suspend and/or stop and/or cancel your access and/or use of the ATD and/or its content, at any time without explanation nor warning or notification.</li>
<li>Representations and warranties set forth in these Terms shall survive termination and/or discontinuation of the ATD for a period of one (1) year from the termination and/or discontinuation date.</li>

You must disclose that third party advertisers may place cookies on the browsers of visitors to your website(s) and provide end users with clear and comprehensive information regarding any devices (such as cookies or local shared objects) in use at their websites for storing information in the user’s terminal equipment or retrieving already stored information from the said terminal equipment. You are responsible and therefore must also implement an opt-in system which ensures that the prior and informed consent is obtained from end users in the European Union before any such devices are used or installed in the end users’ terminal equipment.</li>
<li>You hereby warrant that during your use of the ATD, you shall comply with all applicable rules and regulations including but not limited to laws governing privacy, and data protection. You acknowledge, agree and release us from any liability whatsoever due to your failure to comply with this clause and with any Data Protection laws and regulations of the EU and worldwide.</li>

<h3>LIMITATION OF LIABILITY AND DISCLAIMER OF WARRANTIES</h3>

<li>We are not responsible if information made available on this ATD is inaccurate, incomplete or non-current. The material on this ATD is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this site is at your own risk.</li>
<li>We do not guarantee, represent or warrant that your access and use of our ATD will be uninterrupted, timely, secure or error-free.</li>
<li>You agree that from time to time we may remove, suspend, stop, discontinue the ATD and/or its content, operation, access and use for indefinite periods of time or cancel its operation at any time, without notice to you.</li>

<li>EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN THESE TERMS AND TO THE EXTEND PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL OTHER WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES FOR NON-INFRINGEMENT, SATISFACTORY QUALITY, MERCHANTABILITY, FITNESS FOR ANY PARTICULAR PURPOSE, DURABILITY, TITLE AND NON-INFRINHGEMENT. TO THE FULLEST EXTENT PERMITTED BY LAW, THE ATD, ITS CONTENT, OPERATION, ACCESS AND AVAILABILITY FOR USE ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE, AT YOUR OPTION AND RISK AND WE DO NOT GUARANTEE ANY RESULTS, PROFIT AND SECURITY OF ANY KIND AND IF IN ANY CASE THEY OCCUR WE DO NOT WARRANT THEIR ACCURACY OR RELIABLITLY. </li>
<li>YOU ASSUME ALL RESPONSIBILITY AND RISK FOR ACCESSING AND/OR USING THE ATD, AND ITS CONTENT, AS ALSO FOR YOUR INABILITY TO DO SO. IN NO EVENT SHALL WE OR ANY OF OUR DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, AFFILIATES, PARTNERS, CONTRACTORS, LICENSORS OR AGENTS, SUPPLIERS, ACCESS AND AD SERVICE PROVIDERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, DIRECT OR INDIRECT, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING DAMAGES FOR EMOTIONAL DISTRESS, LOSS OF PROFITS, REVENUE, SAVINGS, DATA, INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS OR ANY SIMILAR DAMAGES) IN CONNECTION WITH ANY CLAIM, LOSS, DAMAGE, ACTION, SUIT OR OTHER PROCEEDING ARISING UNDER OR OUT OF THESE TERMS, INCLUDING WITHOUT LIMITATION, YOUR USE OR RELIANCE UPON, ACCESS TO, OR EXPLOITATION OF THE ATD, ITS CONTENT, OPERATION, ACCESS AND USE, OR ANY RIGHTS GRANTED TO YOU HEREUNDER, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER THE ACTION IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICKT LIABILITY, INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OR OTHERWISE. </li>

<h3>INDEMNIFICATION</h3>

<li>You agree to indemnify, defend and hold us and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from and against any claim, demand, liability, cost and expense, including reasonable attorneys’ fees, made by any third-party and/or incurred by a third-party due to or arising out of your breach of any of these Terms or documents incorporated herein by reference, or your violation of any law or the rights of a third-party.</li>

<h3>TERMINATION</h3>

<li>We reserve the right at any time to unilaterally terminate these Terms and stop your access and/or use of the ATD with immediate effect, for any reason whatsoever or without a reason, without any prior notice or liability to you.</li>
<li>These Terms shall terminate immediately upon the dissolution or insolvency of either party, or the breach of any term by you. If in our sole judgment we suspect that you have faile, to comply with any term or provision of these Terms, we may immediately and without notice deny and/or suspend/ and or stop your access and/or use of the ATD or any part thereof.</li>
<li>Your obligations and liabilities incurred prior to the termination date shall survive the termination of these Terms for all purposes.</li>

<h3>FORCE MAJEURE</h3>

<li>Circumstances beyond our control, including force majeure events, may necessitate substitutions, alterations, postponements, failures, delays, unavailability or cancellations to the content, operation, and ability to access and use of this ATD. Force Majeure events include amongst others: (a) power or server outages or issues; (b) update or maintenance periods; (c) results of a war, Acts of God, flood, drought, earthquake or other natural disaster; (d) epidemic or pandemic; (e) terrorist attack, civil war, civil commotion or riots, war, threat of or preparation for war, armed conflict, imposition of sanctions, embargo, or breaking off of diplomatic relations; (f) nuclear, chemical or biological contamination or sonic boom; (g) any law or any action taken by a government or public authority; (h) collapse of buildings, fire, explosion or accident; (i) any labour or trade dispute, strikes, industrial action or lockouts; (j) non-performance by suppliers or subcontractors; (k) interruption or failure of utility service and/or (l) electronic or communications failure.</li>
<li>We reserve the right to execute such substitutions, alterations, postponements, failures, delays, unavailability or cancellations, non-operation, and inability to access and use at any time without notice or liability whatsoever to you or any other third-party, including for any cost, expenditure, damage or loss incurred as a result.</li>

<h3>ENTIRE AGREEMENT</h3>

<li>A failure from our side to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. </li>

<h3>TERM AND VARIATION</h3>

<li>These Terms become effective upon your access and/or use of the ATD through any action, and shall remain in full force for as long as you continue accessing and/or making use of the ATD. </li>
<li>We reserve the right, at our sole discretion, to update, change or replace any part of these Terms by posting updates and changes to our ATD.
